It also offers cutting edge business and management customized training programs. COURSE OVERVIEW AND OBJECTIVES

This course provides a comprehensive understanding of company law in Rwanda, including incorporation, management, shareholding and regulatory compliance. It emphasizes the importance of legal and regulatory frameworks for organizations, equipping participants with the knowledge to ensure proper business registration, administration, and lawful operations. Alongside this, the course integrates key principles of company law, highlighting how legal structures influence company obligations and compliance.


Participants will learn to navigate the legal environment effectively, minimize organizational risks and develop sound company management practices compliant with company laws.

Course Objectives:

By the end of this course, participants will be able to:

  • Understand the process of incorporating a company in Rwanda, including the necessary documents such as the memorandum and articles of association, and the requirements for amendments and fundamental changes.
  • Recognize different types of companies and their capacities, along with the formalities involved in carrying on business legally.
  • Comprehend the rights, liabilities, and powers of shareholders, and the procedures for holding annual and extraordinary general meetings.
  • Gain knowledge of company management and administration, including record-keeping, accounting obligations, and the roles and responsibilities of directors and secretaries.
  • Understand procedures for altering incorporation documents and making fundamental changes like amalgamation, while safeguarding creditors' rights.
  • Learn the legal requirements for foreign companies operating in Rwanda, including registration, reporting, and cessation procedures.
  • Identify common legal faults and administrative sanctions related to company compliance, such as failure to maintain proper books or submit required reports.
  • Recognize offences and penalties associated with fraud, poor bookkeeping, misuse of company property, and false disclosures.

DATE AND VENUE

Courses will start by 17th to 28thNovember2025 (Evening sessions).
Training will take place at SHI professional Training Center located at KIMIRONKO-GASABO, TRIUMPH HOUSE 3RD Floor.

The fees will cover tuition, training materials and Certificate. 

CERTIFICATE of completion

A certificate will be issued at the end of the program to every trainee who completes the course.
