By setting and enforcing service standards, Ecofleet ensures that Kigali’s growing population has access to safe, reliable, and commuter-friendly transport services.
The company plays a strategic role in managing the city’s bus fleet, including planning renewals to maintain a modern and efficient system, while embracing green mobility solutions such as electric buses to align with Rwanda’s climate goals. Technology underpins Ecofleet’s operations through intelligent transport systems (ITS), GPS tracking, digital performance dashboards, and automated inspections that improve transparency and responsiveness. In addition, Ecofleet oversees shared transport infrastructure—depots, terminals, and bus stops—and manages a unified digital fare collection system that promotes cashless payments, standardizes fares, and ensures accountability. Together, these efforts position Ecofleet as a central driver of Kigali’s sustainable, smart, and integrated public transport future.

The objective of these ToR is to select a qualified and experienced Legal firm who will provide uninterrupted, high-quality legal services to Ecofleet Solutions Ltd, ensuring operational efficiency and cost-effectiveness.
3. Required Terms of References
3) TERMS OF REFERENCE (TOR) FOR PROVISION OF LEGAL SERVICES ECOFLEET SOLUTIONS LTD.
Ecofleet Solutions Ltd seeks the legal advisory and representation services to support its establishment and operations.
I. Objectives
The objective of this engagement is to provide Ecofleet Solutions Ltd. with comprehensive legal services that ensure statutory compliance, mitigate legal risks, support contractual negotiations, and strengthen governance structures.
II. Scope of Services
The appointed legal service provider will be expected to undertake the following categories of work:
- Legal Review of Draft Agreements
- Board Advisory – Governance & Risk
- Drafting of New Contracts & Legal Frameworks
- Legal Compliance Support
- Legal Opinions on Specific Regulatory Matters
- Transition Legal Support
- PPP Transaction Advisory Support
- Ad-Hoc Call-Off Assignments
- Transition Integration
- Litigation and Alternative Dispute Resolution (ADR)
III. Deliverables
The legal service provider will be expected to deliver the following:
- Executed contracts and legal frameworks that are enforceable and compliant with laws.
- Legal opinions, compliance matrices, and advisory memos.
- Representation in legal proceedings, including pleadings and hearing submissions.
- Regular updates and reports to Ecofleet’s management and Board.
- Knowledge transfer and integration support for Ecofleet’s in-house legal issues.
IV. Duration of Assignment
The engagement will cover an initial period of six months, renewable based on performance and organizational needs.
V. Reporting & Coordination
The service provider will report directly to the Chief Executive Officer (CEO)
VI. Eligibility & Qualification Requirements
Interested legal service providers (law firms or consortia) must meet the following minimum requirements:
Legal Registration
Must be a duly registered law firm in Rwanda or a recognized jurisdiction, with valid practicing licenses for all key staff.
Relevant Experience
Minimum of 7 years’ experience in corporate and commercial law, including drafting and reviewing contracts, litigation, and regulatory compliance.
Demonstrated track record in Public-Private Partnerships (PPP), public procurement law, and concession arrangements.
Prior experience advising state-owned enterprises, public institutions, or large-scale transport/utility companies will be an added advantage.
Team Composition & Expertise
A team of qualified advocates with diverse expertise covering corporate law, PPPs, procurement law, labor law, environmental law, and dispute resolution.
At least one senior partner/advocate with 10+ years of post-qualification experience and significant exposure to high-value transactions.
Capability to provide urgent on-demand legal support (turnaround within 48–72 hours).
Litigation & Dispute Resolution Capacity
Proven representation in litigation and alternative dispute resolution (ADR) before Rwandan courts, arbitral tribunals, or international forums.
Experience in recovery proceedings and enforcement of judgments/awards.
Operational Capacity
Adequate staffing and resources to handle multiple assignments concurrently.
Ability to assign a dedicated account manager/legal contact person for Ecofleet.
Language Proficiency
All deliverables must be prepared in English, with ability to provide services in French and Kinyarwanda considered an advantage.
VII. Evaluation Criteria
Proposals will be evaluated based on the following criteria:
- Relevant experience and track record (20%)
- Qualifications and expertise of key personnel (20%)
- Proposed approach and methodology (20%)
- Financial proposal (40%)
