Terms of Reference (ToR) for Consultancy to develop Money Tap Ltd’s Internal policies and procedures. 

1. Background

Money Tap Ltd, is a company duly registered in the office of the Registrar General licensed by National Bank of Rwanda to operate as Non-deposit taking Finance Institution in Rwanda. We are committed to offering accessible, transparent, and innovative financial solutions that empower individuals and businesses to grow and achieve their financial goals.

In order to comply with the requirements of the regulator, Money Tap Ltd is seeking to hire a consultant to assist in the development of the Money Ltd.’s Internal policies and procedures which include but not limited to the 

  • Accounting and finance policy, 
  • human resources management policies,
  • Code of conduct
  • Data protection policy
  • internal controls frameworks
  • Administrative and communication procedures
  • Consumer protection policy
  • Anti-money Laundering Policy 
  • Risk Management Policy

2. Objectives of the Consultancy

The main objective of this consultancy is to design, develop and formalize a set of comprehensive company policies, procedures and frameworks that will;

  • Support the effective and efficient operations of Money Tap Ltd.
  • Ensure compliance with local laws, Central Bank requirements and best practices.
  • Promote transparency, accountability, and good governance.

3. Scope of Work

The consultant will be responsible for the following:

  • Assessment and Review:
    • Conduct an initial assessment of Money Tap Ltd’s current operations, resources, and organizational structure.
    • Review existing informal processes and identify gaps in policies, procedures, and systems.
    • Review Money Tap Ltd’s relevant regulatory frameworks 

4. Deliverables

The consultant will be expected to deliver the following:

  1. Inception Report: A detailed report outlining the methodology, timeline, work plan, and initial findings from the assessment phase.
  2. A draft set of policies and procedures covering financial management policy, human resources management policies, Code of conduct, Data protection policy, internal controls frameworks, Money Tap Ltd Administrative and communication procedures.
  3. Final Policies and Procedures Manual: A comprehensive and finalized manual of policies and procedures, incorporating feedback from Money Tap Ltd’s management team.
  4. Capacity building sessions: Develop training materials and Conduct training sessions to build capacity and ensure smooth adoption of the policies across the organization.
  5. Training Report: A summary report of the training activities, including feedback from participants and any recommendations for further capacity-building needs.
  6. A final consultancy report summarizing the process, findings, and recommendations 

All deliverables should be provided in editable electronic format.

6. Requirements:

The consultant or firm should have: 

  • Proven experience in developing Company policies,frameworks, and SOPs for Financial services providers in Rwanda. 
  • Strong expertise in financial management, procurement systems, and internal controls 
  • Knowledge of Central Bank (BNR)compliance requirements and best practices in governance of Non deposit Taking Financial Service providers 
  • Previous three similar assignments
  • BNR Accreditation as an external auditor for regulated financial service providers will be a strong advantage 

7. Application requirements

Interested consultants or firms should submit: 

  1. A technical proposal outlining Understanding of the assignment, Proposed methodology and work plan, Timeline 
  2. A financial proposal with a detailed budget 
  3. Company/consultant profile and relevant experience and CVs of lead team members.
  4. At least three references from similar assignments 

8. Evaluation Criteria

Applications will be evaluated based on: 

  • Relevant experience and technical expertise 
  • Quality and clarity of the proposed methodology 
  • Cost-effectiveness of the financial proposal 
  • Recommendations from three references
  • Demonstrated understanding of Non deposit taking financial service providers operational systems and internal controls 

Evaluation and contract award will be conducted strictly based on capacity, compliance with requirements, and value for money. 

9. Application
