It is an umbrella organization that groups 10 professional chambers. It was established in December 1999, replacing the former Rwanda Chamber of Commerce and Industry.

TERMS OF REFERENCE (ToR)

For the Development of a Business Handbook on Company Law

Private Sector Federation (PSF)

1. Background

The Private Sector Federation (PSF) recognizes that many entrepreneurs in Rwanda face challenges in understanding and applying the provisions of the Company Law. This limits compliance, effective management, and informed decision-making within businesses.

To address this gap, PSF intends to develop a Company Law Handbook — a simplified and bilingual guide summarizing the key legal provisions relevant to company formation, governance, and compliance. The handbook will serve as a practical resource for PSF members and the wider business community.

2. Objective of the Assignment

To develop a user-friendly and bilingual (English, French and Kinyarwanda) handbook that summarizes the key provisions of Rwanda’s Company Law in clear, practical language suitable for business people to understand.

3. Scope of Work

The consultant will:

  1. Draft a clear and practical handbook written in plain language.
  2. Participate in a validation workshop and incorporate stakeholder feedback.
  3. Finalize the handbook in both English, French and Kinyarwanda.

4. Deliverables

The consultant is expected to prepare the following deliverables, which will subsequently be reviewed and discussed with the PSF team:

  1. Inception report outlining the methodology and proposed structure.
  2. Draft Company law Handbook for validation.
  3. Final Company law Handbook (English, French and Kinyarwanda version).
  4. Brief completion report summarizing work done and key recommendations.

5. Duration

The assignment shall be completed no later than April 2026. A detailed work plan and timeline will be agreed upon at the start of the assignment.

6. Reporting and Supervision

The consultant will report to the PSF Advocacy Department or a designated project coordinator. Regular updates and validation meetings will be held to ensure alignment with project objectives.

7. Qualifications and Experience

The consultant (individual or firm) should possess:

  • A degree in Law, Business Law, or a related field (Master’s preferred).
  • Proven expertise in company law, legal drafting, or corporate governance.
  • Experience in producing simplified legal or policy materials.
  • Strong analytical, writing, and communication skills in both English, French and Kinyarwanda.
  • Administrative documents such as the RDB certificate, RSSB clearance, and tax clearance, all issued within the last three months.

8. Expected Outcomes

  • A user-friendly bilingual handbook summarizing Rwanda’s Company Law’s key concepts.
  • Improved legal literacy and compliance among business operators.
  • Strengthened corporate governance and responsible business practices.

9. Submission of Proposals

Interested consultants are invited to submit:

  • A technical proposal describing understanding of the assignment and methodology.
  • A financial proposal indicating consultancy fees.
  • A CV demonstrating relevant experience and qualifications.

Applications should be addressed to the Chief Executive Officer, Private Sector Federation (PSF), within the deadline indicated in the call for proposals.
